1. **Introduction**
Welcome to We Help Artists. These Terms & Conditions ("Terms") govern the services ("Services") provided by We Help Artists ("we," "us," "our") to you, the client ("you," "your," "Client"). By engaging our Services, you agree to be bound by these Terms. Please read them carefully before proceeding.
2. **Services Provided**
We offer a variety of music marketing services, including but not limited to:
- Social media marketing
- Content creation
- Brand development
- Influencer marketing
- Email campaigns
- Digital advertising
- Additional Services could be added at anytime.
The specific services to be provided will be outlined in the Service Agreement entered into with each Client.
3. **Service Agreement**
A Service Agreement will be provided detailing the scope of services, timeline, fees, and deliverables. By signing this agreement, you confirm your acceptance of the Terms herein.
4. **Client Obligations**
You agree to:
- Provide accurate and timely information required to deliver our services.
- Approve or provide feedback on deliverables in a timely manner.
- Pay for the Services as outlined in the Service Agreement.
- Comply with all applicable laws, including copyright and intellectual property regulations, regarding any content you provide to us.
5. **Fees & Payment Terms**
Fees for services will be outlined in the Service Agreement. Payment terms are as follows:
100% Upfront Payment.
- All payments are non-refundable unless:
- We do not deliver upon our promised services within our designated time frame (7-14 business days).
6. **Intellectual Property**
- You retain ownership of all intellectual property you provide to us.
- We retain ownership of any original content created by us until full payment has been received.
- Upon full payment, we will transfer ownership of the content to you, with the exception of any proprietary tools or methods used in service delivery.
7. **Confidentiality**
Both parties agree to keep confidential any non-public information disclosed during the course of the services. This obligation remains in place even after the termination of the service agreement.
8. **Performance & Results**
While we strive to deliver optimal results, we do not guarantee specific outcomes such as follower numbers, engagement levels, or sales metrics. Marketing success can vary depending on numerous external factors, such as quality of your product.
#### 9. **Term & Termination**
- The Term of Services shall be outlined in each Service Agreement.
- Termination does not affect your obligation to pay for services rendered before the termination date.
- Upon termination, all pending work will cease, and all unpaid fees must be settled.
10. **Liability & Indemnification**
- We are not liable for any indirect, incidental, or consequential damages arising from our services.
- You agree to indemnify and hold us harmless from any claims arising from content you provide or from your breach of these Terms.
#### 11. **Force Majeure**
Neither party will be liable for delays or failure to perform due to circumstances beyond their reasonable control, including natural disasters, war, strikes, or government restrictions.
12. **Dispute Resolution**
In the event of a dispute, both parties agree to attempt to resolve it through good faith negotiations. If negotiations fail, disputes will be subject to binding arbitration in accordance with the rules of [Arbitration] and will be held in [Atlanta, GA].
13. **Governing Law**
These Terms and the Service Agreement shall be governed by and construed in accordance with the laws of [State/Country].
